Terms of Service

Last updated 14 October 2026

These terms cover the Signensure website and the Signensure e-signature service. They are written to be read.

Who you are agreeing with

Signensure is provided by TOCLOCO Inc, a company incorporated in Delaware, of 1007 N Orange St, 4th Floor, Suite #1382, Wilmington, DE 19801, USA. "We" and "us" mean TOCLOCO Inc. "You" means you, or the organisation you are acting for.

By creating an account or using the service you accept these terms. If you are agreeing on behalf of a company, you confirm you are allowed to bind it.

The service

Signensure lets you upload documents, send them for electronic signature, and receive them back signed, with a tamper-evident audit trail and a Certificate of Completion. On the Sealed plan, completed documents are additionally sealed with an organisation certificate and a trusted timestamp, and preserved in a write-once archive.

We provide the service on the plans described on the pricing page. The Free plan is available at no cost within its stated limits. Paid plans are charged per user, per month.

Your account and acceptable use

You are responsible for your account, for keeping your credentials safe, and for everything done under it. You must give accurate account information and keep it current.

You agree not to use Signensure to send anything unlawful, fraudulent, or infringing, to impersonate another person, to send documents you have no right to send, or to upload malware. You must not attempt to break into the service, disrupt it for others, or use it to build a competing product.

Your documents and data

Your documents, and the data you and your signers put into them, remain yours. You grant us only the licence we need to host, process, transmit, seal and archive them in order to provide the service to you. We do not claim ownership of your content and we do not use it for any purpose other than running the service for you.

Where your documents contain other people's personal data, such as your signers' names and email addresses, you are the controller of that data and we act as your processor. How we handle personal data is set out in the privacy policy, and a data processing agreement is available on request.

Electronic signatures

Electronic signatures made with Signensure are intended to be legally binding under the US ESIGN Act and UETA, and under comparable laws elsewhere. We give you the tools to capture intent, authenticate signers, and produce a reliable record. You remain responsible for deciding whether an electronic signature is appropriate for a particular document and jurisdiction. A small number of document types carry special formal requirements; for those, take your own legal advice. Nothing on this site or in the service is legal advice.

Payment and renewal

Prices are shown on the pricing page and are exclusive of any tax you may owe locally. Paid subscriptions are billed in advance and renew automatically each period until you cancel. You can cancel at any time, and the cancellation takes effect at the end of the period you have already paid for; we do not refund part-used periods unless the law requires it. Payments are handled by Stripe; we do not store your card details.

If a payment fails and is not resolved, we may suspend or downgrade the account. Your completed documents and their certificates remain available for you to download.

Availability and support

We aim to keep the service available and will not take it down for planned maintenance without reasonable notice where we can avoid it. Paid plans include support by email; where a contract requires a committed response time, we will agree one in writing.

What we promise, and what we do not

We will provide the service with reasonable skill and care, and we will not knowingly ship malicious code. Beyond that, and to the extent the law allows, the service and this site are provided as they are, without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service is free of defects or that it will be uninterrupted.

Liability

Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, we are not liable for indirect or consequential loss, for lost profits, revenue, goodwill or anticipated savings, or for loss or corruption of data beyond our obligation to maintain the records the service is designed to keep. Our total liability arising out of these terms is limited to the greater of the amount you paid us in the twelve months before the claim arose, or USD 100.

Ending it

You can stop using the service and close your account at any time. We can suspend or end your access if you materially breach these terms and do not fix it within 30 days of us telling you, or immediately if the breach is serious. Before your account closes you may export your completed documents and certificates. Sections that are meant to survive termination, including liability and governing law, do.

Changes to these terms

We may update these terms. If a change materially affects you, we will tell you by email or in the app before it takes effect. The current version is always on this page, and the date at the top tells you when it last moved.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court with jurisdiction to protect intellectual property or confidential information.

If you are a consumer resident in the EEA or the UK, this clause does not deprive you of the protection of the mandatory law of the country you live in, or of your right to bring proceedings there.

General

If a clause turns out to be unenforceable, the rest survives. If we do not enforce something straight away, we have not given up the right to enforce it later. You may not transfer your rights under these terms without our written agreement, though you may assign your subscription to a successor in a genuine sale of the business it relates to.
